Terms of Service

1. Acceptance of Terms

By accessing or using CalendarPA ("the Service"), operated by Even Seal Productions LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these terms, please do not use the Service.

These Terms constitute a legally binding agreement between you and CalendarPA. For users in the European Economic Area (EEA), these Terms supplement but do not override mandatory consumer protection laws.

2. Description of Service

CalendarPA is a scheduling platform that helps individuals, teams, and agencies manage their calendars and bookings. The Service includes:

• Calendar synchronization with Google and Microsoft calendars
• Availability management and booking pages
• Video conferencing integration (Zoom)
• Email and SMS booking reminders
• AI-powered scheduling suggestions
• Shared booking types with co-host management
• Contact management and export
• Referral and affiliate program
• Wellbeing features for healthy scheduling

3. Account Registration

To use the Service, you must:

• Create an account using a valid Google or Microsoft account
• Provide accurate and complete information
• Maintain the security of your account credentials
• Be at least 16 years old (or have parental consent if required by local law)
• Have the legal capacity to enter into these Terms

You are responsible for all activities that occur under your account. Notify us immediately at support@calendarpa.com if you suspect unauthorized access.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the Service or its systems
• Interfere with or disrupt the Service, servers, or networks
• Upload malicious code, viruses, or harmful content
• Impersonate another person or entity
• Use automated systems (bots, scrapers) to access the Service without permission
• Resell or redistribute the Service without authorization
• Use the Service to send spam, unsolicited communications, or harass others
• Collect personal data of other users without their consent
• Use SMS features to send promotional messages without proper consent
• Abuse AI features or attempt to bypass usage limits

5. Calendar Integration and Data Processing

By connecting your calendar accounts, you grant CalendarPA permission to access and sync your calendar data as necessary to provide the Service. This includes:

• Reading calendar events to determine your availability
• Creating, updating, and deleting calendar events for confirmed bookings
• Accessing basic profile information for identification
• Using calendar data to power AI-powered smart suggestions (with your consent)

You can revoke this access at any time through your account settings or your calendar provider's security settings. For details on how we handle your data, see our Privacy Policy.

6. SMS Communications

CalendarPA offers optional SMS reminder functionality. By enabling SMS reminders, you agree to:

• Receive booking confirmations, reminders, and cancellation notices via SMS
• Provide a valid mobile phone number capable of receiving SMS messages
• Be responsible for any carrier message and data rates that may apply

Message Frequency

You may receive the following types of SMS messages:

• Booking confirmation (1 message per booking)
• 24-hour reminder (1 message per booking, if enabled)
• 1-hour reminder (1 message per booking, if enabled)
• Cancellation or rescheduling notifications (as needed)

Opting Out

You can opt out of SMS messages at any time by replying STOP to any message, or by disabling SMS reminders in your account settings. Opting out of SMS will not affect email notifications or your ability to use the Service.

7. AI-Powered Features

CalendarPA offers AI-powered features to enhance your scheduling experience. By using these features, you acknowledge:

• AI suggestions are provided for informational purposes and may not always be accurate
• You are responsible for reviewing and accepting or rejecting AI suggestions
• AI features are subject to usage limits based on your subscription tier
• Some data may be sent to third-party AI providers (Google Gemini) for processing

AI Usage Limits

AI features have rate limits to ensure fair usage. If you exceed your tier's limits:

• You will receive a notification when approaching your limit
• AI features will be temporarily unavailable until limits reset
• Limits reset at the beginning of each billing period

8. Shared Booking Types and Co-Hosts

CalendarPA allows you to create shared booking types with multiple hosts. By using this feature:

• You consent to sharing your profile information (name, email, photo) with co-hosts
• You understand that all co-hosts can view booking details for the shared booking type
• You agree to use shared data only for legitimate scheduling purposes

Host Responsibilities

As a host on a shared booking type:

• You must honor bookings assigned to you
• You must maintain accurate availability information
• You must not misuse booking attendee data

Ownership and Removal

The creator of a shared booking type is the owner. Owners can remove co-hosts, but must transfer ownership before deleting their account. Co-hosts can remove themselves from a shared booking type at any time. Removal does not delete historical booking data.

9. Referral and Affiliate Program

CalendarPA offers a referral program that allows you to earn rewards for referring new users. By participating:

• You agree to the referral program terms and commission structure
• You will not use deceptive practices to generate referrals
• You will not self-refer or create fake accounts
• You understand that commissions are subject to verification and may be voided for fraud

Commission Terms

• Commission rates and structures may change with 30 days notice
• Commissions are paid via Stripe or PayPal based on your preference
• Minimum payout thresholds may apply
• Commissions may be voided if the referred user receives a refund

Program Termination

We reserve the right to terminate your participation in the referral program for violation of these terms. Upon termination, pending commissions may be forfeited.

10. Wellbeing Features

CalendarPA offers optional wellbeing features to help you maintain a healthy meeting schedule. These features:

• Are provided as scheduling tools, not medical or health advice
• May limit your available booking slots based on your preferences
• Can be enabled or disabled at any time

11. Payments, Subscriptions, and Refunds

Some features of CalendarPA may require payment. By subscribing to paid features:

• You authorize us to charge your payment method on a recurring basis
• Subscriptions renew automatically unless cancelled before the renewal date
• You can cancel your subscription at any time through your account settings
• Price changes will be communicated at least 30 days in advance

Refund Policy

Refunds are handled as follows:

• Monthly subscriptions: No refunds for partial months, but you retain access until the end of your billing period.
• Annual subscriptions: Pro-rata refund available within 14 days of purchase if Service does not meet expectations.
• Credit bundles: Unused credits are non-refundable but do not expire while your account is active.

EEA/UK Consumers: You have the right to cancel within 14 days of purchase without giving a reason (cooling-off period). If you begin using the Service before this period ends, you agree that you may lose this right. To exercise your cancellation right, contact support@calendarpa.com.

12. Intellectual Property

The Service, including its design, features, trademarks, and content, is owned by CalendarPA and protected by intellectual property laws.

You retain ownership of your content (calendar data, booking information, profile data) but grant us a limited, non-exclusive license to use it as necessary to provide the Service. This license ends when you delete your account.

13. Service Availability

We strive to maintain high availability, but the Service is provided on an "as available" basis. We may:

• Perform scheduled maintenance (with advance notice when possible)
• Experience unplanned downtime due to technical issues
• Modify, suspend, or discontinue features with reasonable notice

Calendar synchronization depends on third-party APIs (Google, Microsoft, Zoom) which may experience delays or outages beyond our control. SMS delivery depends on mobile carriers and network conditions.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, secure, or meet your specific requirements. AI-generated suggestions and wellbeing features are provided without warranty of accuracy or fitness for any purpose.

Note for EEA/UK Consumers: Nothing in these Terms affects your statutory rights as a consumer. If the Service does not conform to your contract with us, you may be entitled to remedies under applicable consumer protection laws.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

CalendarPA shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to:

• Missed meetings or appointments
• Double-bookings or scheduling conflicts
• Lost revenue or business opportunities
• Data loss or corruption
• Service interruptions or downtime
• Failed SMS deliveries
• Inaccurate AI suggestions
• Decisions made based on wellbeing feature recommendations

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

You acknowledge that this agreement is between you and CalendarPA only, and not with Microsoft, Google, Zoom, Twilio, or any other third-party service provider.

Note for EEA/UK Consumers: These limitations do not apply to: (a) death or personal injury caused by our negligence, (b) fraud or fraudulent misrepresentation, or (c) any liability that cannot be excluded or limited under applicable law.

16. Indemnification

You agree to indemnify and hold harmless CalendarPA, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) your misuse of shared booking type data or referral program. This provision does not apply to EEA/UK consumers to the extent prohibited by applicable law.

17. Termination

We may suspend or terminate your access to the Service:

• For violation of these Terms
• For fraudulent, illegal, or harmful activity
• For abuse of SMS or AI features
• For referral program fraud
• If required by law
• If your account is inactive for an extended period

You may delete your account at any time through your account settings. Upon termination, your data will be handled as described in our Privacy Policy.

18. Changes to Terms

We may modify these Terms at any time. For material changes, we will:

• Post the updated Terms on this page
• Update the "Last updated" date
• Notify you via email or in-app notification
• Provide at least 30 days notice for material changes

Continued use of the Service after changes take effect constitutes acceptance of the new Terms. If you do not agree to the changes, you may close your account before they take effect.

19. Dispute Resolution

Informal Resolution

Before initiating any formal proceedings, you agree to contact us at support@calendarpa.com to attempt to resolve the dispute informally.

Arbitration (U.S. Users)

For users in the United States: Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. This arbitration agreement does not prevent you from bringing issues to the attention of federal, state, or local agencies, or from seeking relief in small claims court.

EEA/UK Users

If you are a consumer in the EEA or UK, you may bring proceedings in the courts of your country of residence. You may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/odr.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

EEA/UK Consumers: If you are a consumer resident in the EEA or UK, you will benefit from any mandatory provisions of the law of your country of residence. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions.

21. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

22. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CalendarPA regarding the Service and supersede all prior agreements and understandings.
